This franchise shall not be assigned or transferred without the prior written consent of the city, which consent shall not be unreasonably withheld, conditioned, or delayed, provided the franchise is transferred or assigned to an entity that controls, is controlled by, or is under the common control of the grantee or is approved by the Oregon Public Utility Commission. If the city consents to an assignment or transfer of the franchise, the transfer or assignment shall not be effective until the assignee or transferee has complied with the requirements in § 101.06 and filed a signed acceptance of the terms of this franchise.
