§ 32.039 OFFICERS.
   (A)   The officers of the Board shall be the Chairperson, Vice-Chairperson, Secretary and Treasurer, each of whom shall be elected by the Board.
   (B)   Only members of the Board may be officers. No member shall hold more than one office, except that the same member may be both Secretary and Treasurer.
   (C)   The officers shall be elected annually by the Board at the regular meeting of the Board. If the election of officers shall not be held at the meeting, the election shall be held as soon thereafter as conveniently may be. Each officer shall hold office until his or her successor shall have been duly elected and shall have qualified, until his or her death or until he or she shall resign or shall be removed in the manner hereinafter provided.
   (D)   Any officer may be removed by the affirmative vote of a majority of the members of the Board whenever in the judgment of the majority, the best interests of the Board will be served thereby.
   (E)   A vacancy in any office because of death, resignation, removal, disqualification or otherwise, shall be filled by the Board for the unexpired portion of the term.
   (F)   The Chairperson shall be the principal executive officer of the Board and, subject to the control of the members of the Board, shall, in general, supervise and control all of the business and affairs of the Board. He or she shall, when present, preside at all meetings of the Board. He or she may sign, with the Secretary or any other proper officer of the Board thereunto authorized by the Board, any deeds, mortgages, bonds, contracts or other instruments which the Board has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board or by these by-laws to some other officer or agent of the Board, or shall be required by law to be otherwise signed or executed; and in general shall perform all duties incident to the office of Chairperson and other duties as may be prescribed by the Board from time to time.
   (G)   In the absence of the Chairperson or in event of his or her death, inability or refusal to act, the Vice-Chairperson shall perform the duties of the Chairperson, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Chairperson. The Vice-Chairperson shall perform other duties as from time to time may be assigned to him or her by the Chairperson or by the Board.
   (H)   The Secretary shall:
      (1)   Keep the minutes of the proceedings of the Board in one or more books provided for that purpose;
      (2)   See that all notices are duly given in accordance with the provisions of these by-laws or as required by law;
      (3)   Be custodian of the records and of the seal of the Board and see that the seal of the Board is affixed to all documents executed by the Board under its seal as duly authorized;
      (4)   Keep a register of the business address of each member which shall be furnished to the Secretary by a member;
      (5)   Sign, with the Chairperson, any deeds, mortgages, bonds, contracts or other instruments, the issuance of which shall have been authorized by resolution of the Board; and
      (6)   In general, perform all duties incident to the office of Secretary and other duties as from time to time may be assigned to him or her by the Chairperson or by the Board.
   (I)   (1)   The Treasurer shall:
         (a)   Have charge and custody of and be responsible for all funds and securities of the Board;
         (b)   Receive and give receipts for moneys due and payable to the Board from any source whatsoever, and deposit all moneys in the name of the Board in banks, trust companies or other depositories, as shall be selected in accordance with the provisions hereof; and
         (c)   In general, perform all of the duties incident to the Office of Treasurer and other duties as from time to time may be assigned to him or her by the Chairperson or by the Board.
      (2)   If required by the Board, the Treasurer shall give a bond for the faithful discharge of his or her duties in the sum and with the surety or sureties as the Board shall determine.
